Nexus Terms of Service
Version 1.1. Effective: October 8, 2026
Please read these terms carefully. They contain important safety information and limit our liability to you.
Nexus is an informational and convenience service, and an aid to an attentive crew. It is not a substitute for a proper watch, official charts and publications, sound seamanship or emergency equipment. Any alarm can fail to sound. You remain responsible for your vessel and everyone aboard at all times.
By agreeing, you accept that we have no liability to you for any loss, damage, injury or death connected with your use of Nexus (Sections 19 to 24).
Section 25 requires disputes to be resolved by individual arbitration rather than in court, and waives class actions and jury trials. You can opt out of arbitration within 30 days.
1. Agreeing to these terms
These Terms of Service ("Terms") are an agreement between you and Compendium Systems, LLC, a Minnesota limited liability company ("Compendium Systems," "we," "us" or "our"). They cover the Nexus app, the software on the Nexus unit, our servers and websites, and any information we provide through them (together, the "Service").
You accept these Terms when you tick the box agreeing to them and create a Nexus account or join a boat. We keep a record of when you accepted and which version you accepted. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle your information. It is part of these Terms.
2. Who may use Nexus
You must be at least 18 years old, or the age of majority where you live, to create an account. A person aged 13 or older may use Nexus only with the permission and supervision of a parent or guardian who agrees to these Terms on their behalf. Nexus is not for children under 13.
If you accept these Terms on behalf of a company or other organization, you confirm that you have the authority to bind it, and "you" includes that organization.
3. What Nexus is
Nexus is a monitoring and information system for recreational boats. A Nexus unit is a small computer aboard the boat. It reads the boat's instruments and sensors, keeps the boat's log, and watches for conditions you ask it to watch for, such as the anchor dragging. The app shows that information and delivers alarms, either directly over the boat's Wi-Fi or through our servers over the internet.
Nexus also shows information that we and others gather about places and conditions, including:
- weather forecasts, tides and currents;
- bridges, their clearances and opening schedules;
- anchorages and marinas, and suggestions about them;
- other vessels' AIS reports;
- answers to questions you ask about your boat.
4. An informational and convenience service
Nexus is provided solely as an informational and convenience service.
Nexus is not any of the following, and is not certified marine equipment of any kind:
- navigation or collision-avoidance equipment;
- safety, life-saving or emergency equipment;
- distress-alerting equipment;
- security equipment;
- watchkeeping equipment.
Everything Nexus displays or generates is provided solely for informational and convenience purposes. That includes information, alarms, notifications, forecasts, calculations, recommendations, ratings, estimates, summaries and answers.
Nothing provided through Nexus is professional, navigational, safety, emergency, weather, engineering, maintenance, legal or other authoritative advice or instruction.
You are solely responsible for evaluating all information independently, and for every decision about your vessel, crew, passengers, property and activities.
5. Important safety notice
Nexus is not certified navigation or safety equipment. It is not an electronic chart display and information system (ECDIS), and it is not part of the Global Maritime Distress and Safety System (GMDSS). It is not a substitute for any equipment that law, regulation, your insurer or prudent seamanship requires aboard.
Nexus does not replace a lookout or a watch. You must keep a proper lookout by sight and hearing at all times, as the International Regulations for Preventing Collisions at Sea (COLREGs) and the Inland Navigation Rules require. This applies at anchor, at a dock and under way.
Nexus does not replace official charts and publications. Its maps are not official nautical charts. Use current official charts, the Coast Pilot, Local Notices to Mariners and other official sources for navigation.
In an emergency, call for help directly. Use VHF channel 16, DSC, a personal locator beacon or EPIRB, or a telephone to the Coast Guard or emergency services. Nexus does not contact any rescue service for you.
6. Your responsibilities
You are solely responsible for:
- the safe operation, navigation, anchoring, mooring and maintenance of your vessel;
- the safety of everyone aboard;
- the decisions you make, whether or not you used information from Nexus to make them;
- following all laws and regulations that apply to you and your vessel;
- carrying and maintaining required safety equipment;
- keeping a proper watch.
You agree to treat everything Nexus shows you as one input to your own judgment, and to check it against other sources and what you can see before you rely on it.
7. Alarms and notifications
Nexus alarms are an additional layer of warning, not a guarantee. An alarm, including an anchor-drag, man-overboard, depth, bridge or equipment alarm, can be late, wrong, missed or never raised. This can happen for reasons including:
- loss of power to the Nexus unit or your phone, or a flat battery;
- a weak, wrong or lost GPS position;
- a failed, disconnected or miscalibrated sensor;
- no Wi-Fi, cellular or internet connection, on the boat or on your phone;
- delays or failures at Apple, Google or your mobile carrier in delivering notifications;
- your phone's settings, such as silent mode, Focus, Do Not Disturb or notification permissions;
- the app being closed by you or by your phone;
- settings you chose, such as an alarm radius or threshold;
- software errors, or an outage of our servers.
Do not rely on Nexus as your only means of detecting a dragging anchor, a person overboard, rising water, a fire, a collision risk or any other danger.
8. Person overboard
The man-overboard feature records a position and sounds an alarm when it is triggered, by you or by a sensor. Nexus may show the last position reported by a crew member's watch or an AIS beacon. That position can be late, wrong or missing. Nexus does not contact the Coast Guard or anyone else outside the boat. It can fail to trigger. Nexus is not a substitute for man-overboard procedures, USCG-approved lifejackets and other required safety equipment, emergency beacons (EPIRBs and PLBs), or calling for help on VHF channel 16. If someone goes overboard, follow your recovery procedure and call for help at once, by VHF, DSC or any other means you have.
9. Navigation, bridge, tide, weather and place information
Nexus shows information from public agencies, other providers and our own estimates. Sources include NOAA, the National Weather Service, the U.S. Coast Guard, Open-Meteo, OpenStreetMap and other providers. This information can be incomplete, out of date, wrong or unavailable. Some of it is calculated by Nexus, including:
- times of arrival, and speed advice for meeting a bridge opening;
- clearance under a bridge adjusted for the tide;
- wind shifts at an anchorage, and ratings or recommendations for anchorages;
- answers to questions you ask about your boat.
These calculations are estimates, made from models and data that may not match conditions where you are.
In particular:
- Bridges. Clearances, opening schedules and restrictions change, sometimes without notice. Confirm with the bridge tender, the clearance boards at the bridge and official notices. Never attempt to pass under a bridge on the strength of a clearance shown in Nexus.
- Depths, tides and currents. Predictions are not observations. Actual water levels and currents can differ greatly from predictions, especially in wind, storms or after heavy rain.
- Weather. Forecasts are often wrong. Monitor official forecasts and warnings from the National Weather Service and the Coast Guard.
- Anchorages and marinas. Descriptions, ratings, contact details, VHF channels, depths, prices and suggestions may be wrong or out of date. Holding ground, depth, swinging room, hazards and local regulations are for you to assess.
- AIS and other vessels. Not every vessel transmits AIS, and AIS reports can be wrong or delayed. Nexus does not detect every vessel or hazard.
- Your boat's readings. Readings depend on your sensors, their installation and calibration, and your boat's network. Readings can be wrong.
10. Answers and other content generated by software
Some Nexus features generate content using automated systems, including artificial intelligence. That content includes:
- answers to questions you ask about your boat;
- summaries and explanations;
- recommendations, ratings and predictions.
Such content may be inaccurate, incomplete, misleading, out of date, biased, nonsensical or entirely wrong. It is provided solely for informational and convenience purposes.
Do not rely on it for any important decision. That includes:
- navigation and vessel operation;
- maintenance decisions;
- safety decisions and emergency response;
- legal or regulatory compliance.
You assume all risks arising from using or relying on it.
11. Your account, and sharing a boat
Keep access to your email account and to your Apple or Google sign-in secure. You are responsible for everything done through your account.
The owners of a boat decide who may see and use it. An owner can invite crew and other owners, and can remove them. You are responsible for whom you invite. People you share a boat with can see its live data, alarms and log, and, depending on their role, may be able to change its settings, including alarm settings. We are not responsible for what people you have invited do with that access.
Each person who uses Nexus must accept these Terms with their own account.
12. The Nexus unit
You are responsible for installing the Nexus unit correctly, or having it installed, and for:
- its connection to your boat's power, networks and instruments, following the manufacturers' instructions and recognised marine standards such as those of the American Boat & Yacht Council (ABYC);
- keeping it powered;
- protecting it from water, heat and physical damage.
The Nexus unit is not fail-safe. It can stop working without warning, through loss of power, hardware or storage failure, heat, water, a software fault or any other cause. When it does, it may not be able to tell you. Do not rely on it as your only means of monitoring your vessel.
We are not responsible for damage to your vessel, its equipment or its electrical systems caused by installation, wiring or connection of the unit.
No hardware warranty. The Nexus unit, including its hardware, is provided "as is," without any warranty, to the fullest extent permitted by law. Section 20 applies to the unit as it does to the rest of the Service.
13. Updates and changes to the Service
We update the app and the software on the Nexus unit from time to time, to fix problems, improve security and add or change features. Some updates install automatically.
We may change, suspend or stop any part of the Service, including features that depend on third-party data that becomes unavailable. We will try to give reasonable notice of a change that significantly reduces what Nexus does for you.
14. Fees
The app and the Service have no subscription charge today. If we introduce paid features, we will describe them and their price before you are asked to pay. Purchases made through the App Store are also governed by Apple's terms.
15. Acceptable use
You agree not to:
- use the Service unlawfully, or to harm, harass or endanger anyone;
- access a boat, account or data that you have not been given access to, or try to;
- interfere with, overload or disrupt the Service or our servers, or probe or test them for vulnerabilities without our written permission;
- copy, modify, reverse-engineer or decompile the Service, except where the law allows it despite this restriction;
- collect data from the Service in bulk, by automated means or otherwise, or resell it;
- send false information through the Service, including false alarms or false positions.
16. Your content
You own what you put into Nexus, such as your Ship's Log, notes, documents and photos ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to store, copy, transmit and display Your Content only as needed to provide the Service to you and to the people you share your boat with. This license ends when Your Content is deleted from our servers, except for copies we must keep by law.
You confirm that you have the rights to Your Content, and that adding it to Nexus does not break the law or anyone else's rights.
17. Our rights, and your license
The Service, including the app, the unit's software and our data, belongs to us and our licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable license to use the app, and the software on Nexus units you own or are authorised to use, for your own non-commercial purposes under these Terms. We keep all rights we do not expressly give you.
Some parts of Nexus are open-source software, which is licensed under its own terms. Map data is © OpenStreetMap contributors.
If you send us feedback or suggestions, we may use them without any obligation to you.
18. Third-party services
The Service depends on services run by others, including Apple, Google, mobile carriers, internet providers, and weather, tide and map providers. We do not control them and are not responsible for their availability, accuracy or conduct. Your use of them may be subject to their own terms, and you agree to follow them.
19. Your acknowledgment of risks
By accepting these Terms and using Nexus, you specifically acknowledge and agree that:
- Nexus may fail without warning, and the Nexus unit is not fail-safe;
- alarms may be delayed, inaccurate, duplicated or never delivered;
- GPS positions and sensor readings may be inaccurate;
- weather, tide, current, bridge, AIS, map, anchorage, marina and location information may be inaccurate;
- content generated by software, including artificial intelligence, may be inaccurate;
- third-party data sources may be unavailable, delayed, inaccurate or discontinued;
- the Service may become unavailable at any time;
- Nexus is not safety, emergency or navigation equipment;
- relying on Nexus may contribute to property or vessel damage, grounding, allision, collision, sinking, fire, environmental damage, personal injury or death;
- you assume all risks of using or relying on Nexus.
You knowingly and voluntarily choose to use the Service despite these risks.
20. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available," with all faults, and without warranties of any kind, whether express, implied or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service, or any alarm, notification, reading, forecast, chart, bridge, tide, place or other information, will be:
- accurate, complete or current;
- available, timely, uninterrupted or secure;
- free of errors;
- delivered at all.
We also do not warrant that any defect will be corrected.
Some jurisdictions do not allow certain warranties to be disclaimed. Where that is so, those warranties are limited to the shortest period the law allows.
21. Assumption of risk and release
Boating is inherently dangerous. It carries risks of property damage, personal injury and death that no technology can remove. You knowingly and voluntarily assume all risks of using the Service, and of relying, or not relying, on it.
To the fullest extent permitted by law, you release Compendium Systems, and its owners, officers, employees, contractors, suppliers and licensors (the "Released Parties"), from all claims, demands and damages that arise out of or relate to your use of the Service. This covers claims you know about and claims you do not. It includes any failure, delay or inaccuracy of an alarm, notification or information.
If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You also waive any similar law of any other jurisdiction.
22. No liability
To the fullest extent permitted by law, the Released Parties will have no liability whatsoever to you, or to anyone claiming through you, for any loss, damage, cost, injury or death that arises out of or relates to the Service or these Terms. This includes:
- direct, indirect, incidental, special, consequential, exemplary and punitive damages;
- loss of or damage to a vessel or other property;
- grounding, collision, sinking, salvage or towing costs;
- personal injury or death;
- loss of data, profits, use or goodwill.
This applies however the loss arises and on any theory of liability, whether contract, tort (including negligence), strict liability, product liability or otherwise. It applies even if we were told such a loss was possible, and even if a remedy fails of its essential purpose.
You agree that you are using the Service free of any liability on our part, and that this is an essential part of the bargain between us. Without it, we would not provide the Service.
If any exclusion, disclaimer, release, waiver or limitation of liability in these Terms is held unenforceable for any reason, then, to the fullest extent permitted by law, the total aggregate liability of the Released Parties for all claims, losses, damages, injuries, liabilities, costs and expenses will not exceed the greater of (a) one hundred U.S. dollars (US$100), and (b) the total amount you paid Compendium Systems in the twelve months immediately before the event giving rise to the claim.
This limit applies however many claims, incidents, users or vessels are involved. It applies whatever theories of liability are asserted, whether in contract, tort (including negligence), strict liability, product liability, maritime law, statute, equity or otherwise.
You and we agree that this limit is a fundamental basis of the bargain between us, and that the Service would not be provided without it.
23. No reliance
You have not relied on any statement, representation, estimate, projection, forecast, recommendation or promise that is not expressly stated in these Terms. This includes anything in:
- advertisements, marketing or sales material;
- demonstrations or videos;
- support communications;
- our website or social media;
- reviews.
The Service is provided solely on the terms, limitations, disclaimers, releases and allocations of risk in these Terms.
24. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Released Parties from and against all claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, that arise out of or relate to:
- your use of the Service;
- the operation of your vessel;
- Your Content;
- your breach of these Terms;
- your violation of any law or of anyone else's rights.
This includes claims brought by your crew, guests or anyone you shared your boat with.
25. Disputes and arbitration
Talk to us first. Before you start any claim, email info@compendiumnav.com with a description of the problem and give us 60 days to try to resolve it.
Binding individual arbitration. Any dispute, claim or controversy between you and us that arises out of or relates to the Service or these Terms will be resolved by final and binding arbitration. This includes disputes about the scope or enforceability of this section. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. You and we each give up the right to have the dispute decided by a judge or a jury. There are two exceptions:
- either party may bring an individual claim in small-claims court, if it qualifies;
- either party may ask a court for an injunction against misuse of intellectual property.
The Federal Arbitration Act governs this section.
No class actions. You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not combine more than one person's claims or preside over any representative proceeding. If this class-action waiver is found unenforceable for a particular claim, that claim alone will be decided in court, not in arbitration.
Opting out. You may opt out of arbitration by emailing info@compendiumnav.com, from the email address on your account, within 30 days of first accepting these Terms. Say that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Jury waiver. If any claim proceeds in court rather than in arbitration, you and we each waive any right to a trial by jury, to the extent the law allows.
Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
26. Governing law
These Terms are governed by the laws of the State of Minnesota and the United States, without regard to conflict-of-law rules. Where admiralty or maritime law applies, these Terms are to be interpreted to give effect to their exclusions and releases to the fullest extent that law allows.
Subject to Section 25, any claim that is not arbitrated will be brought only in the state or federal courts located in Hennepin County, Minnesota, and you and we consent to the jurisdiction of those courts.
27. App Store terms
If you downloaded the app from Apple's App Store, the following also applies:
- These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for the app and its content.
- Your license is to use the app on Apple-branded products that you own or control, as allowed by Apple's Usage Rules, including Family Sharing.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any warranty that applies, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
- We, not Apple, are responsible for any claims about the app, including product-liability claims, claims that it fails to meet a legal or regulatory requirement, and consumer-protection claims.
- We, not Apple, are responsible for investigating, defending, settling and discharging any claim that the app infringes someone's intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country. You also confirm that you are not on any U.S. Government list of prohibited or restricted parties.
- You must follow the terms of any third-party agreement that applies when you use the app, such as your wireless data service agreement.
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept them, Apple may enforce them against you.
28. Ending your use
You may stop using Nexus at any time, and you may delete your account under Settings › User profile › Delete account.
We may suspend or end your access if you breach these Terms, if we must for legal reasons, or if we stop providing the Service. Where reasonable, we will tell you first.
Sections 4 to 6, 10, 12 and 15 through 30 survive the end of this agreement.
29. Changes to these Terms
We may update these Terms. If a change is significant, we will tell you in the app or by email before it takes effect, and we may ask you to accept the new version before you continue using the Service. We keep a record of each version and of your acceptance. If you do not agree to a change, stop using the Service and delete your account. Changes do not apply to a dispute that arose before they took effect.
30. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service, including the Nexus unit.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest will remain in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Events beyond our control. We are not liable for failure or delay caused by events beyond our reasonable control. These include outages at internet, satellite, GPS, cellular, cloud or notification providers, as well as natural events, weather and government action.
- Notices. We may give you notice in the app or by email to the address on your account.
- Headings. Headings are for convenience only.
